Terms of Service

These Terms of Service ("Terms") govern your access to and use of Subtl. By creating an account or using the Service you agree to these Terms. This document is provided for transparency and is not legal advice.
1. Acceptance of Terms
By accessing or using Subtl you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms, and "you" refers to both you and that company.
2. The Service
Subtl provides software that helps trades contractors track subcontractors, jobs, documents, retainage, and payments. The Service may evolve over time as we add, change, or remove features.
3. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account, including activity by team members or anyone you invite. You must keep your credentials confidential and notify us promptly at support@gosubtl.co of any unauthorized use.
4. Subscriptions, Trials, and Billing
Subtl is offered on a subscription basis. By starting a subscription you authorize us (through Stripe) to charge your payment method on a recurring basis at the then-current rate for your plan until cancelled.
Free trials, if offered, convert automatically to a paid subscription at the end of the trial period unless cancelled before the trial ends. Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
All fees are non-refundable except where required by law. We may change pricing with reasonable advance notice; changes take effect on your next renewal.
5. Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide pro-rated refunds for partial periods.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) upload content that infringes others' rights, is defamatory, or contains malware; (c) interfere with or disrupt the Service or its security; (d) attempt to gain unauthorized access to any account, system, or data; (e) reverse-engineer, decompile, or attempt to extract source code from the Service; (f) resell, sublicense, or commercially exploit the Service except as expressly permitted; or (g) scrape, harvest, or otherwise collect data from the Service by automated means.
7. Your Content
You retain all rights in the data you upload to Subtl, including subcontractor records, documents, photos, and messages ("Customer Data"). You grant Subtl a limited, non-exclusive license to host, store, transmit, display, and process Customer Data solely to provide and improve the Service for you.
You are solely responsible for the accuracy, legality, and appropriateness of Customer Data, and for ensuring you have all rights and consents necessary to upload it.
8. Subcontractor, Tax, and Compliance Responsibility
Subtl is a tool, not a legal, tax, accounting, insurance, or compliance advisor. You are solely responsible for: classifying workers correctly under applicable law; collecting accurate W-9s and issuing 1099s or other tax forms; verifying insurance coverage and license validity; complying with prevailing-wage, lien, and labor laws; and any other regulatory obligations relating to your business and your subcontractors. Information generated by the Service is provided for your convenience and should be reviewed by your accountant or attorney before being relied on for legal or tax purposes.
9. Documents, Lien Waivers, and Legal Sufficiency
Subtl is not a law firm and does not provide legal advice. Lien waivers, subcontractor agreements, change orders, and other documents generated, collected, or stored through the Service are provided as-is, without warranty of legal sufficiency, enforceability, or compliance with any specific state's statutory requirements. Lien waiver laws vary by state and some states require exact statutory forms. You are solely responsible for confirming that any document you generate, sign, or rely on through the Service complies with the laws of the applicable jurisdiction. We recommend review by a licensed attorney in your state before relying on any document for legal purposes.
10. Third-Party Services
The Service integrates with third-party services such as Stripe for payments and various cloud-infrastructure and email-delivery providers. Your use of those services is also governed by their own terms and privacy policies. Subtl is not responsible for third-party services.
11. Intellectual Property
Subtl and its licensors own all right, title, and interest in the Service, including all software, designs, trademarks, logos, and content provided by us. Except for the limited rights expressly granted to you to use the Service, no other rights are granted.
12. Feedback
If you send us feedback, ideas, or suggestions, you grant Subtl a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SUBTL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE. SUBTL DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBTL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SUBTL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO SUBTL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15. Indemnification
You agree to defend, indemnify, and hold harmless Subtl and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms or applicable law; or (d) your violation of any rights of a third party, including subcontractors whose data you upload.
16. Suspension and Termination
We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees, or use the Service in a way that creates risk or legal exposure for Subtl or others. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Delaware, and you and Subtl consent to personal jurisdiction and venue there. Where permitted by law, you and Subtl each waive any right to a jury trial and to participate in a class action or class-wide arbitration.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date above and, for material changes, provide additional notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Subtl regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent.
